This course will enable you to deepen your knowledge of company law and grasp its difficulties. In particular, you will learn about the powers and responsibilities of company directors, the transfer of a company, and changes in share capital.


Teaching objectives
At the end of the training, the participant will be able to:
Deepen your knowledge of corporate law
Understanding a manager's powers and responsibilities
Knowing the conditions for transferring a company
Modifying or transforming the capital of a SA or SAS

Intended audience
Managers, in-house lawyers, young lawyers, heads of accounting and finance departments.

Prerequisites
Basic knowledge of company law or equivalent to the course "Company law, for non-lawyers" (Ref. DOS).

Hands-on work
Use of legal documents. Alternating theoretical contributions and case studies, using summary sheets.

Key points of company law

  • Learn about company contracts and the role and importance of bylaws: validity requirements, specific elements...
  • Understanding how to set up a company: drafting articles of association, prerequisites, subsequent formalities...
  • Understand how SA, SARL and SAS companies operate: legal, social and tax framework.
Hands-on work
Participants will choose a corporate form to suit their situation and justify it. Debriefing and discussion.

Knowing the powers and responsibilities of the manager

  • Appointment and dismissal depending on the legal form of the company and the status of the executive.
  • Combining a corporate office with an employment contract: conditions of validity.
  • Remuneration: salary, dividends, benefits in kind, etc.
  • Liability to associates and third parties, mismanagement.
  • Tax and social repercussions.
Hands-on work
Apply the rules governing the different types of executive status to specific situations. Debriefing by the trainer and discussion of these issues.

Understanding the transfer of the company

  • Business operations: sale and lease management.
  • Sales of shares: promise to sell, approval clause and clause léonine.
  • Vices of consent.
  • Suspensive and resolutory conditions.
  • Shareholder agreements: interest, form, content and clauses.
  • Liability guarantees.
  • Acquisitions, mergers and partial asset contributions.
Hands-on work
Drafting a liabilities guarantee agreement.

Changing the capital of a public limited company or transforming a company

  • Share premium.
  • Preferential subscription rights.
  • SA and SAS prerequisites: decision-making procedures, quorum and majority requirements, etc.
  • Legal processes.
  • Impact on the company, managers and partners.
Hands-on work
Study of tax consequences.
